These Spark Paws Creator Club Terms (the "Terms") form a binding agreement between you ("you") and Icon Pets LLC, doing business as Spark Paws ("Spark Paws", "we", "us"), governing your participation in the Spark Paws Creator Club Paid Partnership (the "Program"). By checking the "I agree" box and typing your full legal name, you agree to be bound by these Terms, and your typed name constitutes your electronic signature.
1. Eligibility and Membership
1.1 Participation in the Program is by invitation only. You represent that you are at least eighteen (18) years of age and able to receive payments through PayPal in your country of residence.
1.2 You may hold only one membership. Spark Paws may decline, suspend or terminate any membership at its sole discretion.
2. Compensation
2.1 Commission. Subject to these Terms, Spark Paws will pay you a commission equal to six percent (6%) of the Qualifying Ad Spend on each Eligible Video.
2.2 Eligible Video. An "Eligible Video" is a finished video that (a) was created by you, (b) features a Spark Paws product, and (c) was posted by you or delivered by you to Spark Paws. An Eligible Video includes any version to which Spark Paws has made only non-substantive changes for advertising purposes, such as trimming, resizing, reformatting, or adding captions, music, text overlays or a call to action. In these Terms, "Your Videos" means Eligible Videos.
2.3 Qualifying Ad Spend. "Qualifying Ad Spend" means amounts actually spent by Spark Paws on paid advertising on Meta platforms (Facebook and Instagram) that runs an Eligible Video, on or after the date you join the Program. Ad spend before your join date is excluded.
2.4 Spark Paws Productions. Advertising content created by Spark Paws or its contractors, including content that combines footage from more than one creator or that is newly edited from raw or unedited footage (each, a "Spark Paws Production"), is not an Eligible Video and does not earn commission under this section, even if it includes footage you provided. Any footage you provide may be used in Spark Paws Productions under the license in section 5.
2.5 No Cap. Commission is not capped. It continues to accrue for as long as an ad running an Eligible Video remains active, including after you stop posting, subject to sections 10 and 11.
2.6 Records. Qualifying Ad Spend is determined from Spark Paws' Meta advertising account records, which are final, subject to your right to raise questions under section 6.5.
3. No Guarantee
Spark Paws determines, at its sole discretion and based on the performance of its advertising systems, whether to run any video and how much to spend on it. Spark Paws makes no representation or guarantee that any video will be used, or that any minimum amount will be spent or earned. Any examples of earnings are illustrative only.
4. Content Requirements
4.1 Each of Your Videos must be your own original work and must clearly feature a Spark Paws product.
4.2 You shall not feature competing products or include discount or coupon codes in Your Videos.
4.3 When posting, you shall tag @sparkpawsofficial, include #SparkPawsCreator, and clearly disclose the paid partnership using each platform's disclosure tools, in compliance with applicable advertising laws and guidelines, including the US Federal Trade Commission's Endorsement Guides.
4.4 Posting on Instagram is optional. However, you shall grant, and keep active for the duration of your membership, Spark Paws' partnership ad permission on Instagram, so that Spark Paws may run Your Videos under your name.
4.5 You shall not use copyrighted music or other third-party material without the necessary rights, make false or misleading claims about Spark Paws products, or place any animal at risk of harm or distress.
4.6 The same video posted on more than one platform constitutes one video.
4.7 You shall keep each post live for at least ninety (90) days.
5. License and Rights
5.1 Ownership. You retain ownership of Your Videos.
5.2 License. You grant Spark Paws a non-exclusive, perpetual, irrevocable, worldwide, royalty-free (other than the compensation in these Terms) license to use, reproduce, edit, combine, adapt, publish, distribute and display Your Videos and any raw footage you provide, in any media now known or later developed, including advertising, social media, websites and other marketing. Spark Paws may sublicense these rights to its agencies, contractors and advertising platforms acting on its behalf.
5.3 Name and Likeness. This license includes your name, handle, voice and likeness, and those of your pets, as they appear in Your Videos or footage.
5.4 Warranties. You represent and warrant that you own or have obtained all rights, consents and releases needed for Your Videos and footage, including the permission of every person who appears in them (and of a parent or legal guardian for any person under eighteen (18)), and that Spark Paws' use as permitted by these Terms will not infringe or violate any third party's rights.
5.5 Survival. This license survives the end of your membership.
6. Payment
6.1 Spark Paws will pay accrued commission monthly, by PayPal, in US dollars, within ten (10) days after the end of each calendar month, together with a statement.
6.2 You are responsible for providing a valid PayPal account. Spark Paws is not liable for payments sent to an incorrect account or email address you provided.
6.3 Spark Paws will remit the amount shown on your statement. Any fees charged by PayPal for receipt of payment or currency conversion are your responsibility.
6.4 Balances under twenty-five US dollars (US$25) roll over to the following month.
6.5 Any question or dispute regarding a statement must be submitted in writing within fourteen (14) days of the statement date. After that period, the statement is deemed accepted.
7. Independent Contractor; Taxes
7.1 You are an independent contractor. Nothing in these Terms creates an employment, partnership, joint venture or agency relationship between you and Spark Paws. You are solely responsible for your own taxes.
7.2 You shall provide a valid IRS Form W-9 (if you are a US person) or Form W-8BEN (if you are not), either at sign-up or later. If you are a US person, Spark Paws must receive a valid Form W-9 before your payments reach two thousand US dollars (US$2,000) in a calendar year, and may hold payment of amounts above that threshold until a valid form is received and approved. Held amounts are not forfeited and will be paid once your form is approved.
7.3 Spark Paws will issue Form 1099-NEC where required by law.
8. Other Programs
Your TikTok Shop affiliate commissions and Social Snowball commissions are governed by their own terms and are not affected by these Terms.
9. Confidentiality
You shall keep confidential, and shall not disclose publicly or to any third party (including other brands): these Terms and your compensation; the identity of other Program members; any creative briefs; and any non-public business information or data Spark Paws provides to you. This obligation survives the end of your membership.
10. Removal for Breach
If you breach these Terms, including by submitting content you do not own, artificially inflating views or engagement, or reposting earlier content as new, Spark Paws may terminate your membership immediately, and any unpaid commission may be forfeited.
11. Termination
Either party may terminate your membership at any time by written notice, including by email. Except where your membership is terminated under section 10, commission continues to accrue on Your Videos running in ads that were active at the time of termination, for as long as those ads remain active. Sections 2.5, 5, 6, 7, 9 and 13 through 16 survive termination.
12. Amendments
Spark Paws may amend these Terms by notifying you by email and publishing a new version number. Your continued participation in the Program after such notice, or your acceptance of the new version when requested, constitutes acceptance of the amended Terms.
13. Limitation of Liability; Indemnity
13.1 To the maximum extent permitted by law, Spark Paws shall not be liable for any indirect, incidental, special, consequential or lost-profit damages, and its total liability arising out of or relating to the Program shall not exceed the amounts paid to you under these Terms in the twelve (12) months preceding the claim.
13.2 You shall indemnify and hold harmless Spark Paws from any claims, losses and costs (including reasonable legal fees) arising out of Your Videos, any footage you provide, or your breach of these Terms.
14. Privacy
Spark Paws uses the personal information you provide (name, contact details, social handles, PayPal email and tax form) solely to administer the Program, make payments and comply with tax and legal obligations. Tax forms are stored securely and accessed only by Spark Paws' finance personnel and professional advisers. You may request access to, correction of, or deletion of your personal information by contacting us, subject to any retention required by law.
15. Governing Law and Venue
These Terms are governed by the laws of the State of Nevada, USA, without regard to its conflict-of-law rules. The state and federal courts located in Nevada have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Program.
16. General
16.1 Entire Agreement. These Terms are the entire agreement between you and Spark Paws regarding the Program and supersede any prior discussions, except any separate bonus offer Spark Paws makes to you in writing, which applies on its own terms.
16.2 Severability. If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect.
16.3 Assignment. You may not assign or transfer your rights or obligations under these Terms without Spark Paws' written consent.
16.4 No Waiver. Failure by Spark Paws to enforce any provision is not a waiver of its right to do so later.
